These Website Terms & Conditions (“T&Cs”) apply to your access and use of www.notchteam.com (the “Site”), including all software, data, reports, text, images, sounds, video, and content made available through any portion of the Site (collectively, the “Content”). Content includes all such elements as a whole, as well as individual elements and portions thereof.
Acceptance of Terms
Notch permits you (“you” or “user” or “your”) to access and use the Site and Content, subject to these T&Cs. By accessing or using any portion of the Site, you acknowledge that you have read, understood, and are agreeing to be bound by the T&Cs, including any subsequent changes or modifications to them. If you do not agree to these T&Cs, or have the legal authority to contractually bind to these T&Cs than please do not accept the T&Cs or use the Site or its Content.
Acceptable Use and Content
You are solely responsible for your conduct and the data related to the Site and Content. Access and Use of the Site and Content may only be used for solely for the purpose of your evaluation of Notch and Notch’s products and services. You agree to indemnify, defend, and hold harmless Notch and it’s providers from any and all loss, claims, cost, liability, and expense arising from or related to your data, your use of the Site or its Content, or violation of the T&Cs. Any unauthorized use of the Site or its Content is a violation of these T&Cs and certain federal and state laws. The Site and its Content is made available only to you for personal or commercial use which must be in compliance with applicable laws, rules, and regulations and must not infringe or violate any third party rights.
Accounts and Security
You must be a registered user to access restricted sections of the Site and its Content. You are solely responsible for password security and accept any and all liability for any violations of the T&Cs that occur under your registered account information.
Appropriate Use
Notch reserves the right to terminate any users or accounts that it finds in violation of the T&Cs or otherwise non-acceptable in its sole discretion without refund or notice.
Ownership and Restrictions
All rights, title, interest in and to the Site and Content will remain and belong exclusively to Notch. You will not (a) sublicense, resell, rent, lease, transfer, assign, or otherwise commercially exploit or make the Site or its Content available to any third party, (b) Use of the Site or Content in any manner that interferes with or disrupts the integrity or performance of the Site or its Content, (c) Attempt to gain unauthorized access to the restricted section of the Site or its Content or related systems or networks (d) Attempt to modify, adapt, or hack the Site and its Content. You are not permitted to copy, modify, repost, frame, publicly display or perform, sell, reproduce, distribute, or create derivative works of the Site and Content. You agree not to access or attempt the site through any means other than the interface that is provided through the Site. You may not use any automatic program, device, or any similar manual process to access, acquire, or monitor any portion of the Site or Content, or attempt to circumvent the navigational structure of the Site to attain or attempt to attain Content that is not made generally available in a non-restricted section of the Site. Notch reserves the right to take any lawful measures to prevent any such activity.
No Warranties or Representations
You understand and agree that the Site and Content is provided “as-is” and Notch, it’s affiliates, suppliers, providers, and resellers expressly disclaim all warranties of any kind, expressed or implied, including without limitations any warranty of merchantability, fitness for a particular purpose, accuracy, timeliness, non-infringement, or bailment of your data on Notch’s servers. Notch, its affiliates, suppliers, providers, and resellers make no warranty or representation regarding the results that may be obtained for use of the Site or its Content. Use of the Site or its Content is at your sole risk and you accept any damage that may result from its use.
Limitation of Liability
To the fullest extent permissible by law, and except for its gross negligence or intentional misconduct, Notch’s liability shall be limited. In no event shall Notch be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of use, data, or profits, whether in an action in contract, tort, equity, or otherwise, arising out of or in any way connected with the use or inability to use the Site or its Content or resulting from unauthorized access to or alteration of data.
Right to Modify
We may modify or terminate our Site or Content at any time, for any reason, and without notice. We reserve the right to modify these T&Cs at any time without notice. We may, but have no obligation to, remove any accounts or content containing what we determine as unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable material. We will remove any Content that violates any party’s intellectual property or these T&Cs. Any account deleted by Notch will lose all data and will be deleted from Notch’s servers immediately.
Intellectual Property
You agree that by posting your information and other content (“User Content”) on or through the Site and Content, you grant Notch a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, modify, reproduce, distribute, display, publish, perform, and User content in connection with the Site and its Content.
